Additional Terms - Sales Agreement; User Agreement

1. Definitions. “Goods” means the items listed for sale. “AEP or Seller” means any one or more companies of the American Electric Power System.

2. Buyer shall take possession of the Goods in place, AS IS.

3. Bidder may have free access to the Goods for inspection purposes, with reasonable notice, during normal business hours. Bidder's non-inspection or non-acceptance of the Goods shall not relieve bidder of its obligation to comply with the terms of the Bill of Sale. Test Operation of the Goods is not permitted.

4. EXCEPT AS TO TITLE, SELLER MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

5. Known concerns are what have been observed by the AEP business unit selling the item and have not been validated by a technician.  Areas not listed as known concerns, or None do not imply any warranty as to life or condition and only imply that a concern was not noticed by the business unit.

6. Seller has no obligation to lend equipment to Buyer or assist with the dismantling and/or removal of the Goods. Buyer may not, under any circumstances, borrow any tools, vehicles, materials or equipment of Seller, while removing the Goods from the AEP location.

7. Bids must be placed no later than the date and time indicated on the website.   

8. All bids are final. When a bid has been Successfully Placed, the bid cannot be changed or deleted by either the bidder or AEP. AEP is not liable for any costs incurred by any bidder in the preparation, presentation or any other aspect of the bid received.

9. The submission of bids does not obligate AEP in any way. AEP makes no representation, implied or express, that it will accept and approve any bid submitted. AEP reserves the right to reject any and all bids, at its sole discretion.

10. AEP may at its sole discretion close a bidders AEP Surplus account. This includes if a bidder rescinds an offer after accepted by AEP.

11. AEP reserves the right to withdraw any items being offered for sale.  

12. The Bill of Sale must be signed and payment received by AEP before the Goods are released for pickup. AEP Accounts Receivable must receive payment within fifteen (15) days of the date of the Bill of Sale. Removal of Goods must be completed within fifteen (15) days of receipt of payment.

13. Buyer is responsible for any local and state sales taxes for the state where the transfer of ownership occurs. Sales taxes will be added to the purchase price and included on the invoice unless the Buyer provides a tax exemption or resale certification for the state where ownership transfer occurs.

14. Buyer is responsible for picking up the Goods in a safe and hazard free manner or making arrangements for a shipper. All shipping costs are at Buyer’s expense. AEP will not prepare the Goods for shipment unless otherwise stated in the listing description.  

15. All Units of Measure (including but not limited to volume, weight, and dimensions) are approximate.  

16. AEP Asset Recovery Bill of Sale Terms and Conditions shall govern the sale of the Goods as set forth in the Asset Recovery Bill of Sale.
