1.Definitions. “Goods” means all items, including documentation, and services provided by Bidder under the bid. “AEP or Seller” means one or more of the companies of the American Electric Power System.
2.As a recipient of this Request for Bid (“RFB”), your company (“Bidder”, “Buyer”, “You”, “Your”) has been pre-selected as a potential buyer for the Goods described in the attached RFB (and shown in the attached pictures, if applicable).
3.Bidder may have free access to the Goods for inspection purposes, with reasonable notice, during normal business hours. Bidder's non-inspection or non-acceptance of the Goods shall not relieve Bidder of its obligation to comply with the terms of the Bill of Sale. Any part of the Goods not rejected by Bidder following inspection shall be deemed accepted.
4.EXCEPT AS TO TITLE, SELLER MAKES NO WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
5.Owner has no obligation to lend equipment to Bidder or assist with the dismantling and/or removal of the Goods. Bidder may not, under any circumstances, borrow any tools, vehicles, materials or equipment of Owner, while dismantling and removing the Goods from the AEP location.
6.Questions regarding the Bid process or terms and conditions shall be submitted on the website.
7.Bids are due no later than the date and time indicated on the website. Responses received after the prescribed time and date may be disqualified from further consideration, at the sole discretion of AEP.
8.AEP may request additional data, discussion, or a presentation in support of your bid, including but not limited to, your company’s latest financial data, certificate of insurance, safety history and environmental history.
9.The submission and receipt of bids does not obligate AEP in any way. AEP is not liable for any costs incurred by any Bidder in the preparation, presentation or any other aspect of the bid received by reason of this request, nor is AEP obligated to negotiate separately with any source whatsoever in any manner necessary to serve Bidder’s best interests. AEP makes no representation, implied or express, that it will accept and approve any bid submitted. AEP reserves the right to reject any and all bids, at its sole discretion.
10.AEP may, at its sole discretion, award Goods contemplated hereunder, in whole, in part, or not at all. Bidder waives any right to claim damages of any nature whatsoever based on the selection process, final selection, and any communications associated with the selection.
11.The bid shall be binding, in all respects, upon the Bidder for the greater of (i) a period of ninety (90) days beginning on the due date for submission of the bid, or (ii) the period until the parties have completed negotiations.
12.AEP may at its sole discretion remove a Bidder from the bidders list if the Bidder rescinds an offer after accepted by AEP.
13.The signed Bill of Sale and payment must be received by AEP from the successful bidder prior to the Goods being released for pickup. AEP Accounts Receivable must receive payment within fifteen (15) days of the date of the Bill of Sale or the acceptance may be withdrawn and voided, at which time AEP has the right to resell the Goods.
14.Vendor shall at its expense provide everything necessary including, but not limited to, equipment, tools, transportation, flaggers and any other items needed to remove and haul away Goods in a safe and hazard-free manner.
15.All Units of Measure (including but not limited to volume, weight, and dimensions) are approximate. It is strongly recommended that bidders confirm measurements to their satisfaction.
16.AEP Asset Recovery Bill of Sale Terms and Conditions shall govern the sale of the Goods as set forth in the Asset Recovery Bill of Sale.
